Terms of Service
Last updated: 2026-09-24 · Version: pilot draft
These Terms of Service ("Terms") are a binding agreement between you (and the organization you represent, "you" or "Customer") and Mason, the provider of the Service ("Mason," "we," "us"), governing your access to and use of the Mason website, the Mason AutoProgrammer application, and related services (together, the "Service"). If you have signed a pilot agreement with Mason, that executed pilot agreement governs wherever it differs from these Terms.
By creating an account, clicking "I agree," or using the Service, you accept these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.
1. The Service
Mason provides AI-assisted tools for building-controls engineering, including the Mason AutoProgrammer, which helps generate, edit, and export control "wire sheets" and related artifacts. The Service is a productivity tool for qualified engineers; it does not replace professional engineering judgment.
2. Accounts and eligibility
You must provide accurate account information and keep it current. You are responsible for activity under your account and for keeping your credentials secure. You must be at least 18 and able to form a binding contract. The Service is intended for business and professional use, not for consumers.
3. Plans, fees, and payment
Access is currently offered through pilot programs. Fees, billing frequency, refund terms, plan limits, renewal, and cancellation are those stated in the executed pilot agreement or order that covers your use. Unless that agreement states otherwise, fees are exclusive of taxes. If the Service is later offered on other terms, those terms will be presented to you before you are charged.
4. Your content and data
"Customer Data" means the inputs you provide and the outputs generated for
you, including equipment descriptions, uploaded control/configuration data,
palettes, drawings, prompts, and the wire sheets and export files (for example,
Niagara .bog and .ntpl files) the Service produces for you.
- You own your Customer Data. As between you and Mason, you retain all rights in your Customer Data, including the wire sheets and generated output the Service produces from your inputs. Mason claims no ownership of that output.
- License to operate the Service. You grant Mason a limited, non-exclusive license to host, process, and transmit Customer Data solely to provide, secure, and support the Service, and as described in the Privacy Policy.
- Service improvement. These Terms do not grant Mason a right to train AI models on Customer Data. Any use of Customer Data — or of de-identified or aggregated data derived from it — to improve the Service must be stated in the executed pilot agreement.
- Responsibility. You represent that you have the rights to your inputs and that your use of the output complies with applicable law and any third-party agreements.
5. AI features and third-party providers
The Service uses artificial intelligence and routes requests to third-party AI model providers and cloud infrastructure. The providers currently used, and what is sent to them, are described in the Privacy Policy. AI output can be inaccurate, incomplete, or unsuitable for a given purpose — see Section 6.
6. No engineering warranty; you must verify output
This is important and specific to what the Service does.
The Service generates control logic and related artifacts automatically. The output is a starting point, not a finished, validated control program. AI output may contain errors, omissions, or unsafe configurations.
- You are solely responsible for reviewing, testing, commissioning, and validating any output before it is used to program, configure, or operate real equipment.
- You remain the engineer of record and are responsible for compliance with all applicable codes, standards, manufacturer requirements, and safety practices.
- Do not deploy generated output to live building systems, HVAC equipment, or any safety-relevant system without independent review and testing by a qualified person.
7. Acceptable use
Your use of the Service is subject to the Acceptable Use Policy, which is incorporated into these Terms. In short, you will not misuse the Service, interfere with it, infringe others' rights, or use it unlawfully.
8. Intellectual property
The Service itself — including Mason's software, models, block catalog, patterns, designs, and trademarks — is owned by Mason or its licensors and is protected by law. Except for the rights expressly granted here, Mason reserves all rights. You may not copy, reverse engineer, resell, or create derivative works of the Service except as permitted by law. Feedback you provide may be used by Mason without obligation to you.
9. Confidentiality
Each party may receive non-public information of the other. The receiving party will protect it with reasonable care and use it only to exercise rights and meet obligations under these Terms. Where a separate non-disclosure agreement or the executed pilot agreement contains confidentiality terms, those terms control.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, MASON DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT OUTPUT WILL BE ACCURATE, RELIABLE, OR SUITABLE FOR ANY PURPOSE.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MASON WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE. MASON'S TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE LIMIT STATED IN THE EXECUTED PILOT AGREEMENT. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
12. Indemnification
You will defend and indemnify Mason against third-party claims arising from your Customer Data, your use of the Service in violation of these Terms or law, or your deployment of output to real equipment.
13. Term, suspension, and termination
These Terms apply while you use the Service. You may stop at any time. We may suspend or terminate access if you breach these Terms, create risk or legal exposure, or fail to pay. On termination, your right to use the Service ends; we will make Customer Data available for export for the period stated in the executed pilot agreement and then may delete it as described in the Privacy Policy.
14. Changes to the Service or Terms
We may update the Service and these Terms. If we make material changes to the Terms, we will provide reasonable notice (for example, by posting the updated Terms with a new "last updated" date or notifying you). Continued use after changes take effect means you accept the updated Terms.
15. Governing law and disputes
These Terms are governed by the governing law stated in the executed pilot agreement, without regard to conflict-of-laws rules, and disputes will be brought in the venue stated there. Either party may seek injunctive relief for intellectual-property or confidentiality matters in any court of competent jurisdiction.
16. General
These Terms, the executed pilot agreement, any order, and the policies referenced here are the entire agreement between you and Mason about the Service. If a provision is unenforceable, the rest remains in effect. We may assign these Terms in connection with a merger or sale; you may not assign without our consent. Our failure to enforce a provision is not a waiver.

Appendix A — Acceptable Use Policy
You agree not to, and not to allow others to:
- Use the Service unlawfully, or to infringe or misappropriate anyone's rights.
- Upload data you do not have the right to use, or that contains others' personal or confidential information without authorization.
- Probe, scan, or breach security; bypass usage limits, authentication, or rate limits; or access the Service by means other than our provided interfaces.
- Reverse engineer, decompile, or attempt to extract Mason's source code, models, or training data, except where the law permits despite this restriction.
- Use the Service to build or train a competing product, or to resell or provide the Service to third parties except as expressly permitted.
- Introduce malware; interfere with or disrupt the Service or its infrastructure; or place an unreasonable load on the Service.
- Use output in any manner that endangers health or safety, including deploying unverified generated control logic to live equipment (see Section 6).
- Misuse AI features to generate unlawful, harmful, or deceptive content, or to attempt to defeat safety or usage controls.
We may investigate and take action — including suspension or termination — for violations of this policy.
